Please read all these Terms and Conditions.
As we can accept your order and make a legally enforceable agreement without further reference to you, you must read these terms and conditions to make sure that they contain all that you want and nothing that you are not happy with. Application
- These terms and conditions will apply to the purchase of the services and goods by you (the Customer or you).
- We are THEM Electrical Installations Ltd, a company registered in England and Wales under number 15367684, whose registered office is at 60 Stonegate, Hunmanby, North Yorkshire, YO14 0NS, with email address info@tei-ltd.co.uk and telephone number 01723 449667 (the Supplier or us or we).
- These are the terms on which we sell all services to you. By ordering any of the services, you agree to be bound by these Terms and Conditions.
Interpretation
- Consumer means an individual acting for purposes wholly or mainly outside their trade, business, craft or profession;
- Contract means the legally-binding agreement between you and us for the supply of the services;
- Delivery Location means the Supplier’s premises or other location where the services are to be supplied, as set out in the order;
- Goods means any goods that we supply to you with the services, of the number and description set out in the order;
- Order means the Customer’s order for the services from the Supplier as set out overleaf;
- Services means the services, including any goods, of the number and description set out in the order.
Services
- The description of the services and any goods is as set out on our website, catalogues, brochures or other forms of advertisement. Any description is for illustrative purposes only and there may be small discrepancies in size or colour of any goods supplied.
- For services and any goods made to your special requirements, it is your responsibility to ensure all information or specifications you provide are accurate.
- All services are subject to availability.
- We may make changes to the services where necessary to comply with applicable law or safety requirements. We will notify you of these changes.
Customer Responsibilities
- You must co-operate with us in all matters relating to the services, provide us and our employees or representatives access to premises under your control as needed, provide all information required to perform the services, and obtain any necessary licences or consents (unless otherwise agreed).
- Failure to comply is a customer default, allowing us to suspend performance until remedied or terminate the contract if the issue is not resolved following our request.
Basis of Sale
- Descriptions of services or goods in our website, catalogues or advertisements do not constitute a contractual offer.
- We may reject an order for any reason but will aim to notify you promptly.
- A contract is formed only when we send an email confirming acceptance or when services are delivered.
- Any quotation or estimate is valid for 30 days unless withdrawn earlier.
- An Electrical Condition Report (ECR) is solely a report and not a pass.
- No variation of the contract is valid unless agreed in writing by both parties.
- These terms apply to contracts entered into at the Supplier’s business premises unless otherwise stated. If this is not the case, you must inform us so we can supply an alternative contract with the appropriate rights (such as cancellation rights under consumer law).
Fees and Payment
- Fees for services, the price of goods and any delivery or additional charges are set out in our current price list or otherwise agreed in writing.
- Payment must be made within 14 days of the invoice date.
- Stage payments may be required for larger or longer-term projects and will be agreed in writing.
- Late payments are subject to 5% monthly interest after the 14-day period.
- Materials delivered to site must be paid for unless otherwise agreed.
Delivery
- We will deliver the services or goods within the agreed time or, failing agreement, within a reasonable time (services) or within 30 days (goods).
- We generally do not deliver outside the UK and Crown dependencies. If we do, you are responsible for any import duties or taxes.
- We may deliver goods in instalments for stock shortages or other fair reasons without extra cost to you.
- If you fail to take delivery, we may charge reasonable storage and redelivery costs.
- Goods become your responsibility upon delivery or collection. You should examine goods where reasonably practicable.
Risk and Title
- Risk passes to you upon delivery of goods.
- You do not own the goods until paid for in full. If overdue or subject to bankruptcy proceedings, we may cancel delivery and require return of goods.
- We are not liable for work damaged or stolen by third parties, natural disasters, other contractors, family, pets, etc. Payment in full is still required.
Withdrawal and Cancellation
- You may cancel the contract within 14 days of entering it (except for custom-made goods). You must return goods in undamaged condition at your own expense. We will refund promptly for goods/services paid in advance, minus any separate delivery charge.
Conformity and Guarantee
- We are legally required to supply goods in conformity with the contract.
- Upon delivery, goods will be: satisfactory quality; fit for any purpose you made known to us; and conform to their description.
- We are not responsible for failures caused by your materials.
- We will provide services with reasonable skill and care.
- You will receive benefit of the manufacturer’s warranty where applicable.
- After-sales services available at additional cost include inspection, testing, maintenance and remedial work.
- Any information we provide about us or our services becomes a contract term if relied upon by you, subject to qualifications or agreed changes.
Duration, Termination and Suspension
- The contract lasts until the services are completed.
- We may terminate or suspend services if you commit a serious breach which is not resolved within 30 days, or if bankruptcy steps occur.
- Termination does not affect any remaining rights or liabilities.
Privacy
- We respect your privacy and comply with GDPR.
- These terms are additional to our Privacy and Cookie Policies, available with estimates or by email.
- Definitions of Data Protection Laws, GDPR and related terms apply.
- We are the Data Controller for personal data processed in providing services.
- We comply with data protection requirements including identifying purposes, lawful processing, respecting rights and securing data.

Successors and Sub-contractors
- Either party may transfer contract benefits while remaining liable for obligations. We remain responsible for sub-contractors.
Circumstances Beyond Control
- A party affected by events beyond reasonable control must notify the other and obligations are suspended where reasonable.
Excluding Liability
- We do not exclude liability for fraud, death or personal injury caused by negligence. Otherwise, we are not liable for unforeseeable losses or business losses.
Governing Law, Jurisdiction and Complaints
- The contract is governed by the law of England and Wales.
- Disputes may be brought in courts of England and Wales, or where you live if in Scotland or Northern Ireland.
- Complaints should be raised within 10 days of delivery so solutions can be discussed.
- We follow industry codes including BS7671 (18th Edition), Electricity at Work Regulations 1989, The Health and Safety at Work Act 1974 and Building Regulations.
